#8) In this situation, there is a valid contract between Courts Distributors and Eastinghouse
corporation. It was evident that both parties intended on forming a contract, because they had
numerous interactions regarding the specifics of the contract, thus legally justifying both parties
willingness to enter into a contract. For example, in Article 2, code section 2-204 states, “A contract for
sale of goods may be made in any manner sufficient to show agreement, including conduct by both
parties which recognizes the existence of such a contract…Even though one or more terms are left open
a contract for sale does not fail for indefiniteness if the parties have intended to make a contract and
there is a reasonably certain basis for giving an appropriate remedy”(UCC 2-204(1)(3)). Thus, the various
interactions between CD and EH regarding the specifics of the contract would legally satisfy code section
2-204, therefore creating a valid contract between the two parties.
Additionally, CD would be liable for paying the requested amount of $140,000, as EH’s
acceptance was initiated upon shipment of the refrigerators. I know this because code section 2-206
