Many changes have happened over the past thirteen years in nearly every area of the
business world. One of the most significant changes has to do with financial reporting. There
have been many corporations that have come and gone, some with modest fanfare, and some left
with big notoriety. There are many reasons why these organizations have left the operating area:
failure to produce revenue, poor business choices, and little marketability. One of the most well-
known motives why various companies go under is unethical behavior and business practices in
the workplace. Because of lack of ethics exposed in the corporate world; the Sarbanes-Oxley
Act of 2002 came into place. This paper will discuss the beginning and the background of
Sarbanes-Oxley, why it was necessary, responsibilities of senior management and directors
