Nondisclosure Agreement
Company Name: A&F Navigations
App: MultiMap
Functions of App: The app will be a navigation system that allows the user to insert up to twenty
addresses and it will navigate the user to each place. The point of the app is to keep the user from
driving on opposite sides of town while out looking for properties. MultiMap will benefit relators
and the regular person that may be out viewing properties.
A&F Navigations decided to partner up with google because google has what may be
considered the best navigation software. They have cars out daily taking pictures, videos, and
mileage from one place to another daily. Within this partnership we will have a Mutual
Nondisclosure agreement. A mutual nondisclosure agreement is an agreement between two
companies that states that the parties involved will not release any of the other party’s
confidential information that has been shared due to the new partnership.
Mutual Non- Disclosure Agreement
This mutual Nondisclosure Agreement is AGREEMENT and ACKNOWLEDGEMENT
between A&F Navigations, Inc. (A&F Navigations) and _____________ (Google) that neither
party will release any of the said information or that party will be in breach of contract, which
will hold them liable for all cost and damages that they may cause. This contract takes full effect
as of the ____ day of _____ of 20___.
Under this Agreement, it is contemplated that each party will disclose and discuss its
Confidential Information. The parties have entered into this Agreement to define the rights and
duties of the parties concerning such disclosure. For the purpose of this Agreement, the term
“Disclosing Party” will refer to either party in the case of such party’s disclosure of Confidential
Information, and the term “Recipient” will refer to either party, as the case may be, in the case of
each such party’s receipt of Confidential Information.
1. Definition of Confidential Information
1.1. “Confidential Information” means information that Disclosing Party provides to the
Recipient, including, without limitation, information regarding Disclosing Party’s
technology, software, code, plans, specifications, marketing or promotion, customers,
and practices and information received from others that Disclosing Party is obligated to
treat as confidential.
1.2. Any information mentioned in paragraph 1.1 has been deemed Confidential Information
only under the following circumstances: (a) if in written or tangible form, is stamped
“confidential” of (b) if in oral or visual for, but has been treated as confidential at the
