1. Sally was recently appointed as an assistant to the company secretary to Good Money Bhd.
The company secretary has informed her that the AGM is coming up in a few months and the
necessary documents have to be prepared. Describe the matters that have to be presented at
an AGM pursuant to the new Companies Act 2016 particularly the financial statement and
the Director’s Report.
Section 340. (1)
Every public company shall hold an annual general meeting in every calendar year in
addition to any other meetings held during that period, to transact the following business:
a) the laying of audited financial statements and the reports of the directors and auditors;
b) the election of directors in place of those retiring;
c) the appointment and the fixing of the fee of directors; and
d) any resolution or other business of which notice is given in accordance with this Act or the
constitution.
Sec 251 CA 2016
Financial statements shall be approved by the Board; and accompanied with a statutory
declaration by a director or where the director is not primarily responsible for the financial
management of the company, by the person responsible in setting forth his opinion as to the
correctness or otherwise of the financial statements and where applicable, the consolidated
financial statements.
Sec 252 CA 2016
Attached to the Directors’ Report shall be the company’s financial statement prepare, within
18 months from the date of its incorporation and subsequently, within 6 months of its
financial year end.
The Directors’ Report will then be approved by the Board and signed on the directors’ behalf
by at least two directors, or in the case of a single director, that director.
