1. Stewardship and Leadership
Meralco’s Board is primarily responsible for the governance of Meralco. Corollary to
setting the policies for the accomplishment of the corporate objectives, the Board also provides an
independent oversight on Management. The Board establishes Meralco’s vision, mission, strategic
objectives, policies and procedures that guide its activities, including the mechanisms for effective
monitoring of Management’s performance. The Board also ensures that internal control
mechanisms for good governance are adequate. Site visits, consultative meetings, and roadshows
are conducted to re-orient and empower all employees to continuously apply the core corporate
governance principles in the workplace. They provide their employees with incentives and
opportunities for professional growth and advancement. Fairness, equal treatment and opportunity,
and avoidance of discriminatory practices are also guaranteed.
2. Accountability
Meralco employees accept responsibility, assume ownership and take full accountability
for all their actions, in their decisions or behaviors in the delivery of services and management of
resources, in their public and private spheres, regardless of their level in the organization. The trust
that Meralco’s investors have placed in the company must be honored. Therefore, they have
applied professional and diligent management to ensure the financial viability of the company and
maintain a fair and competitive return for its investors; and conserved and enhanced its investors’
assets, and fulfill and safeguard their interest.
