What is the significance of the seller sending conforming goods to the buyer?
A seller has the option to sell conforming or nonconforming goods. If the seller sends conforming goods
it is an act of acceptance. Conforming goods meets all obligations of a contract while nonconforming
does not. When conforming goods are shipped it means the seller has accepted the buyers offer to
purchase the goods therefore resulting in a contract.
Under what two situations involving the sale of goods is consideration not required?
In most cases the modification of a contract is based on consideration. One situation would be the
modification of a contract, but the changes made must be in writing to be enforceable.
The UCC has relaxed the rules of the common law relating to sales transaction and it is now easier to
form a binding s ales contract. To offset these relaxed rules however, the UCC demands two
conditions be met by parties entering into a sales contract that cannot be waived or disclaimed. What
are these conditions?
